1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Majestic Review platform ("the Software," "the Service"), operated by Motive Mktg LLC ("the Company," "we," "our," "us"). By accessing or using the Software, you ("User," "you," "your") agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the Software.

2. Services Provided

Majestic Review provides local businesses with tools to manage and enhance their online reputation, including but not limited to:

Review Aggregation: Centralizing reviews from third-party platforms (e.g., Google, Facebook).

AI-Powered Responses: Utilizing Artificial Intelligence to generate and/or post responses to customer feedback.

Review Request Campaigns: Automating email or SMS requests for customer feedback and video testimonials.

Social Sharing: Generating widgets and review-based media for websites and social networks.

Analytics & Automation: Accessing reputation reports and configuring automated workflows.

3. Account Responsibility

To access the Software, you must register for an account and provide accurate, current, and complete information.

Security: You are responsible for maintaining the confidentiality of your login credentials.

Unauthorized Use: You must notify us immediately of any security breach or unauthorized use of your account.

Termination: We reserve the right to suspend or terminate accounts that provide false or misleading information.

4. License and Restrictions

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Software for your internal business purposes. You agree not to:

› Reverse-engineer, decompile, or attempt to extract the source code of the Software.

› Use the Software for any fraudulent, unlawful, or unauthorized purpose.

› Reproduce or distribute any portion of the Software without express written consent from Motive Mktg LLC.

5. User-Generated Content & Third-Party Platforms

You represent and warrant that you own or have the necessary licenses and permissions to use and display the content (reviews, logos, images) processed through the Software.

Compliance: You agree to comply with the terms of service of third-party platforms (e.g., Google Business Profile, Facebook) integrated with the Software.

Monitoring: While we are not obligated to monitor user content, we reserve the right to remove any content that violates these Terms or applicable law.

6. Artificial Intelligence (AI) Usage & Disclaimer

Majestic Review utilizes AI to generate automated responses and content. By using these features, you acknowledge and agree that:

Review Requirement: AI-generated content is provided as a suggestion. You are solely responsible for reviewing and approving all AI-generated content before it is published.

Accuracy: We do not guarantee the accuracy, appropriateness, or legality of AI-generated responses.

Liability: Motive Mktg LLC shall not be liable for any damages, reputation loss, or legal disputes arising from automated responses posted through the Software.

7. Fees, Payments, and Subscriptions

Certain features require a paid subscription.

Billing: You agree to pay all fees associated with your chosen plan as outlined on our pricing page.

No Refunds: All fees are non-refundable unless otherwise stated or required by law.

Modifications: We reserve the right to change our pricing. Price changes will apply to the next billing cycle following notification.

8. Disclaimer of Warranties

The Software is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Motive Mktg LLC disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

In no event shall Motive Mktg LLC, its officers, or employees be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising out of your use of the Software. Our total liability for any claim shall not exceed the amount paid by you to use the Software in the twelve (12) months preceding the event.

10. Indemnification

You agree to indemnify and hold harmless Motive Mktg LLC and its affiliates from any claims, damages, or legal fees arising from your use of the Software, your violation of these Terms, or your infringement of any third-party rights (including intellectual property or privacy rights).

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, USA. Any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in Harris County, Texas.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or platform notification. Your continued use of Majestic Review after such changes constitutes your acceptance of the new Terms.
